These Terms of Service ("Terms") govern your access to and use of GivFlow’s website, application, and related services (collectively, the "Services"). By accessing or using the Services, creating an account, or requesting a demo, you agree to these Terms.

If you are using the Services on behalf of a church, ministry, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. The Services

GivFlow provides giving analytics, reporting, pledge/campaign tools, and donor communication features for churches and ministries. Depending on your plan and configuration, the Services may:

  • Connect to church management or giving platforms you authorize (such as Planning Center)
  • Sync organization, people, donation, recurring gift, pledge, and related data
  • Provide dashboards, lists, automation flows, bulk email, and impact tracking
  • Send church-branded or church-authorized communications you configure

Donors usually continue to give through your existing giving experience unless a specific feature says otherwise. We may improve, change, or discontinue features with reasonable notice when practical.

2. Accounts and access

  • Provide accurate account information and keep it updated
  • Keep login credentials confidential and limit access to authorized users
  • You are responsible for activity under your account
  • Notify us promptly of unauthorized access or security concerns at support@givflow.com

We may suspend or restrict access to protect the Services, other customers, or if we believe these Terms have been violated.

3. Your responsibilities

You agree that you will:

  • Have all rights and authority needed to connect systems and process donor/member information in the Services
  • Use the Services only for lawful ministry and organizational purposes
  • Be responsible for your users, content, email copy, campaign setup, and configuration choices
  • Comply with applicable laws, including privacy, consumer, and electronic marketing rules that apply to your communications
  • Obtain any consents or permissions required for the emails or other outreach you send
  • Not misuse the Services, attempt unauthorized access, disrupt the platform, or reverse engineer the software except where prohibited by law from restricting that

4. Customer data

"Customer Data" means data you or your connected systems submit to the Services, including giving-related and people records. As between you and GivFlow, you retain your rights in Customer Data. You grant GivFlow a limited license to host, process, transmit, and display Customer Data as needed to provide and improve the Services, provide support, and meet legal obligations.

You are responsible for the accuracy of Customer Data and for your instructions to us regarding that data. Our handling of personal information is described in our Privacy Statement.

5. Fees and billing

If you purchase a paid plan, you agree to pay the fees stated in your order, subscription, or invoice. Unless otherwise agreed in writing:

  • Fees are billed in advance for the subscription period
  • Fees are generally non-refundable except where required by law
  • We may change pricing with notice before the next renewal period
  • Late or failed payment may result in suspension

6. Intellectual property

GivFlow and its licensors own the Services, software, documentation, branding, and related intellectual property. These Terms do not transfer ownership to you. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription in accordance with these Terms.

Feedback you provide may be used by GivFlow to improve the Services without obligation to you.

7. Third-party services

The Services may integrate with third-party platforms (including church management and giving providers). Your use of those platforms is governed by their terms and privacy policies. GivFlow is not responsible for third-party services, outages, or changes to their APIs or policies.

8. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only to perform under these Terms, except for information that is public, independently developed, or required to be disclosed by law.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, GIVFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted service, error-free operation, or any particular fundraising, pledge, recovery, or giving results.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GIVFLOW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR LOST-PROFIT DAMAGES, OR FOR LOSS OF DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, GIVFLOW’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO GIVFLOW FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE PAID NOTHING).

11. Indemnification

You will defend and indemnify GivFlow against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your communications, your misuse of the Services, or your violation of these Terms or applicable law.

12. Term and termination

These Terms apply while you use the Services. You may stop using the Services at any time, subject to any commitment in your subscription or order. We may suspend or terminate access for breach, nonpayment, misuse, or to comply with law. After termination, your right to use the Services ends. Sections that by nature should survive (including fees owed, IP, disclaimers, liability limits, and indemnity) will survive.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance, except where applicable law requires additional notice or consent.

14. General

  • These Terms are the agreement between you and GivFlow for the Services, unless you have a separate signed agreement that expressly controls
  • If a provision is unenforceable, the rest remains in effect
  • Failure to enforce a provision is not a waiver
  • You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets
  • Governing law and venue will be the courts and laws of the State of Kentucky, excluding conflict-of-law rules, unless a signed agreement says otherwise
